Terms of Service
DraftStack, Inc. · Last updated October 15, 2026
These Terms of Service (the "Terms") are the agreement between you and DraftStack, Inc. about your use of DraftStack. Please read them. If you do not agree, do not use the Service.
1. Who we are and what these Terms cover
1.1 DraftStack is provided by DraftStack, Inc., a Delaware corporation ("DraftStack," "we," or "us"). "Service" means the DraftStack web application at app.draftstack.io, its programming interface, the DraftStack add-in for Microsoft Word, and the emails and pages that go with them.
1.2 You agree to these Terms when you create an account, open a link that we or another user sent you, or otherwise use the Service. If you use the Service for a company or firm, you confirm that you have authority to bind it, and "you" includes that company or firm.
1.3 The Service is for business use by people who are at least 18 years old.
1.4 Questions about these Terms go to legal@draftstack.io.
2. What the Service does
2.1 DraftStack is a workspace where two or more parties negotiate and close a deal. It supports draft versions and comparison, open issues, tasks and diligence questions, files, messages, reports, and electronic signature of closing documents.
2.2 A "Subscriber" is a person with an account who opens a deal and invites others. A "Guest" is a person invited to a deal by a link. A Guest uses that deal without paying and without creating an account. Each deal belongs to the Subscriber who opened it and that Subscriber's firm.
2.3 DraftStack provides software. We are not a law firm, we do not give legal, tax, or financial advice, and we are not a party to your deal. Comparisons, flagged issues, reports, and playbook checks are aids to your own review. They can miss things and they can be wrong. You and your advisers are responsible for reviewing every document before you rely on it or sign it.
3. Accounts, links, and security
3.1 Give us accurate information and keep it current. You sign in with a link or code that we email you. Keep your email account secure, because access to it is access to your DraftStack account. You are responsible for all activity through your account and must notify us promptly if you suspect unauthorized access.
3.2 A deal link lets the person who holds it open that deal and nothing else. Anyone who has the link can use it, so share it only with the person it was issued for. Deal links expire after a set period, and a Subscriber can resend or withdraw them. DraftStack is not responsible for access by anyone who obtains a link, except to the extent caused by DraftStack’s breach of these Terms.
3.3 You are responsible for activity under your account and for the people you invite. Tell us promptly at legal@draftstack.io if you believe your account or a link has been used without permission.
4. Your content
4.1 "Deal Content" means everything that you or the people you invite put into a deal, including documents, file names, names, messages, issues, tasks, questions, and signatures. You keep all rights in your Deal Content. We do not claim ownership of it.
4.2 You give us a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, convert, and process Deal Content, but only as needed to provide, secure, support, and maintain the Service for you, prevent misuse, and comply with law. This license ends when the applicable Deal Content is deleted, except for copies retained under these Terms or the Privacy Policy.
4.3 You confirm that you have the right to upload your Deal Content and that doing so does not breach a confidentiality obligation or a law. The Subscriber is responsible for making sure that each person invited to a deal is entitled to see what the deal shows them, and that each invitee receives any notices and permissions required for that access.
4.4 We do not sell Deal Content, we do not use it for advertising, and we do not use it to train machine-learning models.
4.5 A Subscriber may delete a deal at any time. Deletion is permanent in the Service and the deal's sealed drafts are deleted with it, subject to the retention and backup practices described in Section 11.3 and the Privacy Policy. Individual files, messages, and other items can also be removed from a deal by the people who are allowed to remove them.
5. How Deal Content is protected, and what that does and does not mean
5.1 The substance of a deal is encrypted ("sealed") in your browser before it reaches our servers, using a key that belongs to that deal. This covers documents and file names, deal names, party names and firms, the text of issues, tasks, questions, and messages, prices, and signature records. Our database holds the sealed form.
5.2 Some information is not sealed, because the Service needs it to work. This includes the email addresses of account holders and of people on a deal, the name and firm on an account, a role label (such as "Buyer's counsel"), the stage, status, and due date of items, which person an item is assigned to, file sizes and counts, timestamps (including when someone last opened a deal), and billing status. Our Privacy Policy lists these.
5.3 Depending on how a deal is set up, one of two key arrangements applies. Under "link custody," the deal key lives in the deal links and in the participants' browsers, and we do not hold it. If every link to such a deal is lost, we cannot recover its contents. Under "service custody," we store the deal key in wrapped form, protected by a key held in Amazon Web Services Key Management Service (AWS KMS), and we release it to people who are authorized on that deal.
5.4 Service custody protects deals against theft or exposure of our database and against casual access. Because we operate the service that releases the key, it is not a promise that no one at DraftStack could ever obtain a key. We limit and record access to the key, and AWS records each use of it.
5.5 Converting a Word document to PDF. To make a PDF signing copy of a Word version, when a deal manager asks, the Service must read that one document. It does so for a short time in an isolated environment with its network switched off, the environment is destroyed afterward, and nothing readable is written to our database or disk. The resulting PDF is sealed in your browser before it is stored.
5.6 We do not access Deal Content except (a) when you ask us for support or use a feature that requires it, such as the Word-to-PDF conversion in Section 5.5, (b) as needed to protect the security or integrity of the Service, or (c) as the law requires.
5.7 No system is perfectly secure, and we do not promise that Deal Content will never be accessed by an unauthorized person. If we learn of a security incident that affects your Deal Content, we will tell you as the law requires and without undue delay.
6. Electronic signatures
6.1 The Service lets people sign closing documents electronically. A signer confirms control of an email address with a one-time code and signs with a passkey on their own device. Each signature is tied to the exact version of the document that was signed. A signed page can be held sealed until it is released at closing.
6.2 By signing, you agree that your electronic signature and electronic records are intended to be your binding signature and records, with the same effect as a handwritten signature and paper record, and you consent to do business electronically for that purpose. You agree that the Service may provide signing records and related notices electronically.
6.3 The federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act, as adopted in the applicable jurisdiction, generally allow electronic signatures and records. Some documents are excluded by law or require a handwritten signature, notarization, or another formality under their own terms. Whether an electronic signature satisfies a particular law, contract, or counterparty is for you and your advisers to decide, and DraftStack makes no representation about it.
6.4 We confirm control of an email address and of a passkey. We do not verify a signer's government-issued identity, and we are not a notary. Keep your own copy of every signed document and certificate.
7. Plans, fees, and payment
7.1 Prices are in US dollars and exclude taxes. A new firm's first deal is free. The firm plan is $499 per month and includes 5 seats and 5 active deals. Annual billing is $4,990 per year (ten months' price for twelve). An extra active deal is $99 per month. An extra seat is $29 per month. A Deal Pass is $750, paid once, for a single deal for up to 12 months of activity or until the deal is closed or archived, and is offered only to firms without an active plan. Guests are never charged.
7.2 An "active deal" is a deal that is open and had activity in the month. Closed and archived deals are free and stay readable.
7.3 Payments are processed by Stripe. We do not see or store card numbers. Applicable sales tax or VAT is calculated and added where required.
7.4 Subscriptions renew automatically at the end of each billing period until canceled. By subscribing, you authorize DraftStack or its payment processor to charge the selected payment method for recurring fees, applicable taxes, and approved additional seats or deals. You can cancel at any time from the Billing page, and the cancellation takes effect at the end of the current period. Extra seats and extra deals are added to your next bill.
7.5 If a payment fails and is not fixed, your existing deals become read-only until payment is fixed. You can still read and export everything. We may also decline to open new deals.
7.6 Fees are non-refundable, and we do not prorate refunds on cancellation, except where the law requires otherwise, where we agree in writing, or as stated in Section 11.2.
7.7 We may change prices on 30 days' notice. A change takes effect at your next renewal. A Deal Pass is charged at the price in effect when you buy it.
8. Acceptable use
You will not, and will not let anyone else:
use the Service unlawfully, or to infringe, defraud, harass, or harm anyone;
upload malicious code, or probe, attack, or overload the Service;
bypass, disable, or attempt to circumvent plan limits, access controls, or the way the Service restricts what a person can see;
scrape the Service, or copy, distribute, resell, or reverse engineer it, except as the law allows;
share a deal link in a way that breaches a confidentiality obligation you owe; or
use the Service in violation of applicable export control or sanctions laws.
9. Our property
9.1 The Service, its software, and its designs belong to DraftStack, Inc. and its licensors. We give you a limited, revocable, non-exclusive, non-transferable right to use the Service solely for your internal business purposes and only while you comply with these Terms.
9.2 If you give us feedback or suggestions about the Service, we may use, reproduce, modify, publish, distribute, and otherwise exploit them without restriction or compensation to you, and without identifying you as the source unless you agree otherwise.
10. Third-party services
The Service relies on outside providers for hosting, database, email, payments, and key management. Our Privacy Policy describes the relevant providers and data practices. If you connect a tool of your own to a deal, your use of that tool is between you and its provider, and you are responsible for what you send to it. DraftStack does not control and is not responsible for those third-party services.
11. Suspension and ending
11.1 You may stop using the Service at any time, and a Subscriber may delete deals at any time.
11.2 We may suspend or end your access, disable a deal or link, or remove Deal Content if you breach these Terms, do not pay, or use the Service in a way that creates legal, security, or operational risk. We may suspend access immediately where reasonably necessary to protect the Service, DraftStack, or another person, and we may terminate an account for convenience on reasonable notice. If we do, we will refund the unused part of any prepaid fees. When it is practical, we will tell you first. We are not liable for resulting loss to the fullest extent permitted by law.
11.3 For 30 days after your account ends, you may ask us to export or delete your Deal Content. We will delete it within 30 days of a written request, subject to applicable law and the retention practices described in the Privacy Policy. After that 30-day period, we may delete it. Sealed copies may remain in backups for a limited period and may be retained as required by law.
11.4 Sections that by their nature should survive ending will survive, including Sections 4, 5, 6, 7, 9, 13, 14, 15, 16, and 18.
12. Changes to the Service
We may change, suspend, or discontinue features or the Service. If a change materially reduces what a paid plan includes, we will give you notice and, where it is fair, a way out. We are not liable for any modification, suspension, or discontinuation to the fullest extent permitted by law.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, SECURITY, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT PROMISE THAT THE SERVICE, DEAL CONTENT, ELECTRONIC SIGNATURE PROCESS, OR ANY THIRD-PARTY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, OR COMPATIBLE WITH YOUR SYSTEMS, OR THAT ITS COMPARISONS, FLAGS, REPORTS, OR OTHER OUTPUTS WILL BE COMPLETE OR CORRECT.
14. Limits on liability
14.1 TO THE FULLEST EXTENT THE LAW ALLOWS, DRAFTSTACK, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DEALS, LOST BUSINESS OPPORTUNITY, OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
14.2 TO THE FULLEST EXTENT THE LAW ALLOWS, DRAFTSTACK, INC.’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID OR OWE US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) $100.
14.3 Nothing in these Terms limits liability that cannot be limited by law, including for fraud or willful misconduct.
15. Indemnity
You will defend, indemnify, and hold harmless DraftStack, Inc., its affiliates, and their officers, directors, employees, and agents from and against third-party claims, and all resulting losses, liabilities, damages, judgments, settlements, and reasonable attorneys’ fees and costs, arising out of or relating to (a) your Deal Content; (b) your use of the Service or use by your Subscribers, Guests, or other invitees; (c) your breach of these Terms; (d) misuse of the Service, an account, or a deal link; or (e) your violation of law. DraftStack may participate in the defense with counsel of its choice, and you may not settle a claim in a way that admits fault by or imposes obligations on DraftStack without our prior written consent.
16. Governing law and disputes
16.1 Delaware law governs these Terms, without regard to its conflict-of-laws rules.
16.2 Before starting a claim, each side will give the other written notice and try in good faith to resolve it for 30 days. After that, any dispute arising out of or relating to these Terms or the Service will be resolved by confidential, binding, individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration seated in Delaware. The Federal Arbitration Act governs. Either side may seek temporary or preliminary court relief in the state or federal courts located in Delaware to protect confidential information or intellectual property or to collect unpaid fees, and each side consents to those courts’ jurisdiction.
16.3 No arbitration or other proceeding may be maintained as a class, collective, consolidated, or representative action, or as a private attorney general action. Each side waives any right to a jury trial to the extent permitted by law. If the class-action waiver is found unenforceable as to a particular claim, that claim must proceed in the Delaware courts identified in Section 16.2 and not in arbitration.
17. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Service, unless a shorter period is reasonably necessary to address a legal, security, or operational issue. The updated Terms will take effect on the stated effective date. If you keep using the Service after that date, you accept the updated Terms; if you do not agree, you must stop using the Service.
18. General
18.1 These Terms, together with our Privacy Policy, are the entire agreement between you and DraftStack about the Service and supersede prior agreements about it. The Privacy Policy governs DraftStack’s processing of personal information, and these Terms govern use of the Service; if they conflict, these Terms control except to the extent the Privacy Policy specifically governs personal-information processing. If part of them is unenforceable, the rest stays in effect. A failure to enforce a right is not a waiver of it.
18.2 You may not assign or transfer these Terms, in whole or in part, without our prior written consent, and any attempted assignment in violation of this Section is void. We may assign these Terms without consent to an affiliate or in connection with a merger, reorganization, financing, sale of assets, or other transfer of all or substantially all of our business or assets.
18.3 We may give notices by email to the address on your account or in the Service. You may give notices to legal@draftstack.io. Questions or notices about personal information may also be sent to privacy@draftstack.io. Email notice is effective when sent unless the sender receives a delivery failure message.
18.4 Neither side is liable for a delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, epidemics, utility or telecommunications failures, internet or hosting failures, governmental actions, or failures of suppliers. This Section does not excuse your obligation to pay fees that are due.
18.5 A Guest who opens a deal link accepts these Terms for that deal, including the acceptable-use, intellectual-property, disclaimer, liability, dispute, and indemnity provisions that apply to Guests. A Guest is responsible for its use of the deal link and the Service, and the Subscriber remains responsible for the Guest’s access and activity to the extent provided in these Terms.
